THESE SPECIAL SALE TERMS AND CONDITIONS (“Special Sale Terms”) are entered into by and between you (“you,” “your,” or “Seller”) and High Road Holdings, LLC dba Everything But the House and/or EBTH (“EBTH,” “we,” “us,” or “our”).
1. INCORPORATION OF TERMS.
These Special Sale Terms are supplemented by, and subject to, the general Seller Terms and Conditions (the “Seller Terms”), available at https://www.ebth.com/sellerterms, which are hereby incorporated by reference. You acknowledge and agree that you have reviewed the Seller Terms and understand that they are expressly made part of these Special Sale Terms.
2. SCOPE.
These Special Sale Terms apply only to Sellers who offer for sale on EBTH’s platform and services at least one “Buy Now Item” or “Reserve Item,” as those terms are defined herein.
3. BUY NOW ITEMS.
Seller will deliver the items set forth on Appendix A (the “Items”), which is hereby incorporated by reference, to EBTH in accordance with Section 3 below for the purpose of selling the Items on the platform(s) provided by EBTH. EBTH may reject all or any portion of the consigned Items in its sole and absolute discretion, including but not limited to a determination that the consigned Items are nonconforming, prohibited, defective, or non-valuable (“Rejected Goods”). If EBTH rejects any portion of the Items, EBTH has the right to rescind this Agreement in its entirety. Additionally, EBTH retains full authority over the listing, marketing, and sale of all consigned items, including the choice of promotional materials and the platforms or methods used for sale.
a) Duration of Consignment. The consignment period for each Item begins on the date the Item is listed on EBTH’s platform and shall continue until the earlier of (i) the listed end date, or (ii) the completion of the sale, including but not limited to completion of payment by EBTH to you and/or you to EBTH in relation to the Failed Goods Policy (discussed below) (the “Initial Consignment Period”). You may extend the Initial Consignment Period by up to three (3) additional increments for items where a listing fee is due and paid, subject to the terms of price adjustments and Fees as outlined in this Agreement (the Initial Consignment Period together with any extensions, collectively, the “Consignment Period”). Sale Increments are to be designated at EBTH’s sole discretion.
b) Withdrawal of Items With Listing Fees. You may request the withdrawal of an Item consigned to EBTH with a contractual listing fee from the EBTH platform at any time prior to when a third party buyer agrees to purchase the Item by way of a successful Buy Now purchase or a bid being placed on said item. In the event you wish to withdraw an Item, you must notify EBTH by emailing your EBTH representative in addition to contacting EBTH Support at https://support.ebth.com/s/contact and including reference to the Item to be withdrawn and the reason for withdrawal. Once EBTH receives written notification of your intent to withdraw an Item, EBTH will use reasonable efforts to promptly withdraw the Item from the EBTH platform; provided, however, in no event shall EBTH be held responsible for an Item that is sold or has a bid placed upon it after you have requested its withdrawal, but prior to EBTH removing such Item from the platform. If you withdraw an Item, a handling fee of $25.00 will be assessed on the withdrawn Item in addition to any and all other Fees due to EBTH, including the Listing Fees, Daily Fees and/or Storage Fees. Withdrawn Items must be collected by you in accordance with the Seller Terms.
4. PRICING AND PRICE ADJUSTMENT POLICY.
(a) Initial Pricing. The initial sale price of the Items will be determined by EBTH in consultation with you, based on market research, Item condition, provenance, and other relevant factors. EBTH retains all final approval rights in setting the initial sale price that you propose.
(b) Optional Price Adjustments. You may opt for price adjustments to be made at intervals to be determined by EBTH during the Consignment Period. Each price adjustment will be predefined by you in accordance with EBTH’s price adjustment guidelines. No price adjustment is required at any given interval, but once you opt-in for price adjustment, the adjustment terms must be specified in writing prior to listing.
( c) Reserve Pricing Step. You may opt to set a Reserve Pricing Step for an Item at the time of contract signing. This will be displayed as an Opening Bid Amount when the Item is placed for sale. Only one Reserve Pricing Step may be placed on an Item at a time. If selected, a Reserve Pricing Step will take place only after any selected Buy Now steps have taken place.
(d) Transition to Auction. At the end of any sale interval, should the Item remain unsold under the set price or reserve pricing step, you have the option to transition the Item to a standard auction format. The decision to move an Item to auction must be communicated to EBTH within 3 business days prior to the end of the current Consignment Period or included in the attached appendix.
5. TRANSMITTAL OF ITEMS.
On the date designated by EBTH, Seller shall deliver the Items to EBTH as agreed between the parties.
6. FEES AND COMMISSIONS.
Without limitation, EBTH shall be entitled to the following fees (collectively with all other fees specified in this Agreement, the “Fees”) from you:
(a) Listing Fee. A one-time, non-refundable listing fee of $50.00 will be charged for each item consigned to EBTH (the “Listing Fee”) with one or more Buy Now or Reserve Pricing steps. This fee covers the costs associated with the initial setup, listing, and marketing efforts for the item. This fee will be considered due upon delivery of the item(s) to EBTH unless EBTH opts at its sole discretion not to process the item. Charge for the item will take place upon sale of the item, withdrawal of the item by you or the completion of the item’s first sale period.
(b) Daily Fee. A daily fee of $4.00 will be incurred for each calendar day, or part thereof, an item is listed on EBTH’s platform (the “Daily Fee”) under a Buy Now step. The Daily Fee and Listing Fee accrue throughout the Consignment Period and is designed to cover the ongoing costs of Item storage and listing and promotional activities.
( c) Commission on Sales. EBTH will collect a commission of ten percent (10%) of the final sale price of each Item sold through its platform. This commission is in addition to any Listing and Daily Fees incurred and is calculated based on the final sale price of the item, excluding taxes, shipping, and handling fees (the “Commission”).
7. MAINTENANCE OF PAYMENT METHOD.
You agree to maintain at least one (1) payment method on file with EBTH at all times during the Consignment Period. Your payment method must be provided to EBTH no later than when EBTH takes possession of the Item(s), and this payment method must remain on file until all items on this contract are successfully sold by EBTH or are returned to you.
8. ITEM PRICING AND TERMS.
Pricing information including starting price, price drops and pricing intervals are outlined in Appendix A, attached to these Special Sale Terms. Any items not included in Appendix A will not be subject to this Agreement and must fall under a separate, signed agreement between the parties. You authorize EBTH to implement the predefined price drops at each seven (7) day interval, as specified in Appendix A. This authorization is contingent upon your initial setup of price adjustment terms and cannot be altered once the Consignment Period begins without the explicit written consent of EBTH. Items may be added with appropriate information after the fact or adjusted only with a signed addendum between the parties.
YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO ALL TERMS AND CONDITIONS OUTLINED HEREIN, INCLUDING ANY AND ALL FEES AND RESPONSIBILITIES AS DESCRIBED. YOU HAVE REVIEWED THE TERMS AND CONDITIONS AVAILABLE AT HTTPS://WWW.EBTH.COM/TERMS AS WELL AS THE SELLER TERMS AVAILABLE AT HTTPS://WWW.EBTH.COM/SELLERTERMS. THESE SPECIAL SALE TERMS REPRESENT THE FULL UNDERSTANDING BETWEEN THE PARTIES REGARDING THE CONSIGNMENT OF ITEMS TO EBTH AND SUPERSEDES ALL PRIOR AGREEMENTS AND UNDERSTANDINGS, WHETHER WRITTEN OR ORAL. These Special Sale Terms may be executed electronically and in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement.
